Brandscout guarantees privacy protection to any one person or organization submitting their data to Brandscout in whichever way or form.

Brandscout shall not disclose nor in any other way share any confidential/corporate/private/personal information of which Brandscout became aware in their dealing with an organization or person, and shall undertake appropriate measures to assure compliance with this provision by third parties, affiliated or not, to the extent to which that may be within Brandscout’s competence.

Brandscout shall carefully store all documents and data carriers obtained from any person or organization, and shall not provide such data to any third party when not directly authorized by the person/organization that has supplied the data.

Brandscout name, logo, and slogans, as well as corporate and business names, logos, and slogans of all and any Brandscout business unit/subsidiary/wholly or partially owned company, whether featured or not on Brandscout owned/managed/operated or otherwise controlled or endorsed internet sites, corporate and other brochures, and any other materials are deemed trademarks, registered trademarks, and property of Brandscout Inc., Toronto, Canada.

All materials which will be submitted by Brandscout to any Party, other than those directly commissioned by- and paid for by that Party and carrying Party’s name, logos, slogans, or other proprietary material, are property of Brandscout Inc., Toronto, Canada with full copyrights reserved by Brandscout.

All Parties acknowledge and agree that Brandscout business and marketing plans, models, and instruments and any documents and Brandscout’s proprietary software solutions contain proprietary and confidential information that will be treated by Parties as protected by applicable intellectual property and other laws, copyrights, trademarks, service marks, patents or other proprietary rights and laws as property of Brandscout Inc., Toronto, Canada, or their offices and branches, or third parties.

Regarding any such material presented by Brandscout through the Services provided or otherwise, Parties acknowledge and agree that, except when expressly authorized by Brandscout, no Party may modify, forward, copy, sell, resell, rent, lease, distribute, loan, reproduce, create derivative works thereof, or in any other way exploit or share any such plans, models, and instruments, in whole or in part, whether protected and registered through copyright, trademark, patent, and industrial design legislation or not, on their own or with third parties anywhere, or in any way, directly or indirectly assist any third party in any such undertaking anywhere.

All Parties acknowledge being granted a limited-time, non-transferable, non-sublicensable, non-assignable, and non-exclusive right and license to use any materials, plans, documents or business solutions supplied by Brandscout, as instructed by Brandscout and as per Agreement and Services provided, and may not grant any rights as to such materials, plans, documents or business solutions to any third party anywhere at any time.

The foresaid Terms & Conditions apply to any materials on delivery, even for review, as well as when such documents are part of a business proposal by Brandscout to Client, and even if no business relationship will be subsequently established, and they apply to all and any Brandscout Inc. owned/managed/controlled internet sites and materials that may be downloadable from those sites.

Any Party may be supplied with or may take advantage of the information and tools that Brandscout may make available on internet sites, in corporate brochures and other promotional materials, at seminars and presentations, or through other sources, such as but not limited to general and personalized messages and reports with information and offers from Brandscout or third-parties selected by Brandscout. Any Party may select to discontinue receiving such materials at any time, with or without reason. Brandscout may discontinue provision of any such materials and services at any time, with or without reason, with or without notice, as long as such materials were provided free of charge.

Any information, tools, and content provided in materials mentioned above are for information purposes only, are subject to conditions, exclusions, limitations, changes, and cancellations, and are not intended to provide any kind of business, non-business, financial, investment, tax, accounting, legal, or other advice, nor are they intended to indicate the availability, applicability, or beneficent effect of any Brandscout or third-party product or service to Clients’ or any other Party’s unique circumstances. All examples are hypothetical and for illustrative purposes. The information presented in any material as mentioned above is subject to change without prior notice to any Party at any time, and is not binding in any way. Omissions or print errors are possible. All services, benefits, and claims are subject to conditions, exclusions, limitations, changes, and cancellations. Only business proposals made to and for a particular Client are binding for Brandscout, to the extent to which any such proposal may have been accepted by the Client and sanctioned in the form of a signed Agreement and within the validity of any such business proposal if validity has been specified. Any other such proposals or documents are considered void.

Brandscout will always to the best of their abilities verify sources and authenticity of information received and made available to other parties. Brandscout cannot assume any responsibility for any inaccurate, incomplete, or misleading information that may have been obtained from sources believed to be reliable, or for any content provided by unaffiliated third parties. Brandscout will to the best of their abilities and within business reason and positive legislation, make every effort to make doing business with Brandscout a productive experience. However, Brandscout cannot always foresee or anticipate technical, legal, accountancy, or other difficulties that may be caused by third parties, and may result in loss of data, Service interruptions or underperformance, and will therefore not be held liable by any Party for any such difficulty or losses caused thereby.

Brandscout will make every attempt to provide all Parties with software which is believed to be error-, virus-, worm-, and spam-free, as well as with company internet services which are believed to be reliable and posing no risk for any user. It is however each Party’s obligation to obtain adequate protection of their computer systems and exercise proper caution when receiving/accepting/using such tools/materials. Brandscout will not be liable for any software or hardware damage, loss of data, or any other loss or damage caused to any Party thereby.
